Registering a company is only the starting line. From its opening month, a foreign-owned business enters a Chinese-language, RMB-based compliance cycle: bank statements, digital invoices, monthly records, filing deadlines around the 15th, annual corporate income tax reconciliation by May 31, and the business annual report by June 30. A missed link can produce a surcharge, a fine, or abnormal taxpayer status. This guide is for a registered, operating company. Every enterprise must maintain books. The Accounting Law permits a company to establish its own accounting department or appoint accounting personnel. A company without that capability must engage an approved bookkeeping agency. It is therefore wrong to say every Wholly Foreign-Owned Enterprise (WFOE) must outsource, but it is equally wrong to treat outsourcing as an unregulated clerical service. The obligation belongs to the company even when execution is delegated.

The base accounting currency is RMB, and accounting books must be in Chinese. A foreign-invested company may use one foreign language alongside Chinese, but not instead of Chinese. Chinese Accounting Standards (CAS/ASBE) govern the local records. Group reporting under another framework may sit above the statutory ledger, yet consolidation adjustments do not replace compliant local books. This is a foundational rule for accounting in china.

An external provider must hold an Agency Bookkeeping License issued by the finance authority under Ministry of Finance Order No. 98. The licensing conditions include at least three full-time practitioners and a full-time responsible officer who either holds accountant-level or higher professional qualification or has at least three years of accounting experience. Agencies also make an annual filing through the National Agency Bookkeeping Industry Regulatory Service Platform: by March 31 in pilot areas and April 30 elsewhere.

2. The Monthly Close: A Client-Side Operating Manual

The monthly close starts with the client, not the tax return. A bookkeeper cannot reconcile a missing bank account, infer an unreported contract, or archive an invoice file the business never delivered. The following handover timetable creates a buffer for review and correction before the statutory filing date.

The bookkeeping agency should finish posting and reconciliation by the 10th of the following month, leaving time to approve the return before the ordinary 15-day filing window. The business remains responsible for the authenticity, completeness, and timely delivery of source documents. General taxpayers normally file VAT monthly, together with urban maintenance and construction tax, education surcharges, and withheld individual income tax as applicable. Small-scale VAT taxpayers normally file VAT quarterly. CIT prepayments are quarterly, while property tax and urban land-use tax also follow quarterly filing under the stated calendar. Stamp tax filed per transaction is due within 15 days after the tax obligation arises. 3. Fapiao, Books, Filing and Bank Flows: The Four-Way Consistency Loop

Systems can compare product codes, quantity and inventory logic, and industry tax-burden patterns, while the five flows of invoices, funds, goods, contracts, and data must tell a coherent story.

For a trading or procurement business, the monthly close should reconcile four connected records. Input invoice categories must match purchase contracts, inventory receipts, and the goods actually acquired. Output invoices must reconcile with the revenue-recognition event; issuing an invoice does not by itself determine when accounting revenue is recognized. Customs declarations should match inventory, foreign-exchange, and contract records. Bank transactions should clear against receivables, payables, fees, shareholder funding, and other identified purposes.

Three legal tests must remain separate. A legitimate voucher may support a bookkeeping entry. A CIT pre-tax deduction requires authentic, legal, and relevant evidence under SAT Announcement [2018] No. 28, and a taxable transaction normally requires a compliant invoice. VAT input credit requires a compliant VAT special invoice, including a qualifying digital special invoice, and the input must not fall within a non-creditable category. One document can satisfy one test without satisfying all three.

If an invoice for a taxable purchase is missing, the company may obtain a compliant replacement before the May 31 annual reconciliation. Where the supplier has been deregistered or classified as abnormal, the fact base calls for five supporting items: evidence of that status, the contract, payment evidence, logistics records, and the transaction ledger. Without the required support, the expense is adjusted upward for tax. Non-taxable items such as salary, social insurance, and compensation do not require an invoice, but they still require the relevant supporting records.

4. Digital E-Fapiao in 2026: Timeline, XML Archiving and Red-Letter Reversal

The 2026 transition has two fixed dates in the supplied policy record. From July 1, 2026, paper VAT special invoices ceased nationwide. From August 1, 2026, fully digitalized electronic invoices became the comprehensive format and paper invoices ceased to be printed or issued. A company should therefore keep its procedures for the new digital evidence rather than reusing paper-era controls.

The three files have different roles. XML, including its digital signature, is the sole legally valid archival original. OFD supports signature verification and readable archiving. PDF is a preview. Keeping only a PDF or printout and discarding the XML leaves no valid archival original; on inspection, the voucher is invalid and the corresponding cost or expense cannot be deducted before CIT.

A fully digital invoice does not need a physical invoice chop because its digital signature provides authentication. It cannot be voided; it must be reversed with a red-letter invoice. If input VAT has already been credited, the recipient must first transfer the input VAT out before the reversal. Frequent high-value red-letter activity can trigger focused tax monitoring.

This is why the client handover table requires the original XML by the 5th of the following month. The control is simple: receive XML, validate it, check duplicates, link it to the contract and payment, and preserve it within the required archive. A preview file may help human review, but it cannot replace the original.

The company should also preserve a visible correction trail. Link each red-letter invoice to the original invoice, approval, return or pricing evidence, VAT input transfer-out where applicable, and the corrected entry. That bundle lets the accountant explain why the reversal occurred and shows that the ledger, return, payment, and commercial event were corrected together rather than edited in isolation.

5. Running Your Company from Overseas: Remote Management, Authorization and Inspections

An overseas legal representative or director does not need to enter China every month merely to file returns. After real-name verification, the legal representative can authorize a local financial officer or licensed bookkeeping agency through the electronic tax bureau. The authorization may use a digital tax certificate or U-key, the electronic business licence, and a written authorization for the registered tax handler.

The access chain should be documented. Record the electronic tax-bureau roles, the authorized tax handler, the scope and duration of authority, and who holds the U-key or electronic business-licence credential. Real-name verification, often through app-based facial verification, is a common setup constraint and can be completed during the company-registration window. Credential custody should be expressly agreed; outsourcing work does not justify unrestricted authority.

Remote processing is not the same as having no local presence. The company must keep a reachable registered address and cooperate with inspections, requests for files, and communication with the responsible tax officer. A compliant registered address or managed workspace can support contact, while a local provider can receive documents and coordinate an inspection. If the registered address and actual operating address differ and the company cannot be contacted, a Hainan enterprise can be directly treated as failing the substantive operation test.

Hainan adds a harder boundary. Remote access to electronic records is acceptable, but the accounting archive itself must be stored in Hainan, and the basic deposit and main business settlement accounts must be opened in Hainan. A purely remote arrangement that stores files outside the province and has no local inspection contact does not satisfy the accounting element of substantive operation. Section 9 maps the full rule.

Use a simple authority register for continuity: credential, legal owner, current custodian, permitted actions, expiry or review date, and revocation procedure. When staff or providers change, revoke the old authorization before transferring custody. Keep a local response pack with the business licence, address evidence, recent ledgers, bank records, invoice XML files, filed returns, and the named inspection contact. This makes an overseas-managed company reachable without pretending that management authority and credential possession are the same thing.

6. Late Filing and Non-Filing: Penalty Ladder and Abnormal Taxpayer Status

Late tax filing and late payment are different defaults. Article 62 of the Tax Administration Law permits the authority to order correction and impose a fine of up to RMB 2,000, or RMB 2,000–10,000 in serious cases. Article 32 applies a daily surcharge of 0.05% to unpaid tax, approximately 18.25% annualized, without a cap. Relief under the policy on no penalty for first violation requires a first-time, minor violation that is promptly corrected; it does not waive the tax or the late-payment surcharge.

Tax evasion through concealed revenue or false declarations is more serious: recovery of tax and surcharge, a fine of 50%–500% of the underpaid tax, and criminal liability where the conduct reaches that threshold. Fabricating a false tax basis can carry a fine up to RMB 50,000.

The practical consequences can include restricted invoice issuance, frozen bank accounts, impact on the legal representative’s credit record, and a downgraded tax-credit rating. A company should correct the return, payment, and status rather than treating one as a substitute for the others.

7. Annual Compliance Calendar: CIT Reconciliation, Audit and the Business Annual Report

The annual cycle converts twelve monthly closes into tax and public-reporting submissions. Every WFOE that operated during the year files annual CIT reconciliation within five months after year-end, by May 31, whether it made a profit, a loss, or zero declarations. Related-party reporting is filed with the CIT return where applicable. A practical closing calendar is:

The business annual report is filed from January 1 through June 30 at www.gsxt.gov.cn, free of charge and publicly visible. Since 2020, the multi-report consolidation for foreign-invested enterprises places FDI equity, foreign exchange, social-insurance, and applicable customs data in the same portal rather than requiring a separate MOFCOM joint annual report. Report subscribed capital from the articles of association and paid-in capital as the cumulative amount actually paid by December 31, supported by bank records or a capital-verification report. The new Company Law sets a maximum five-year subscription payment period. Employee headcount should represent employees insured and in service at December 31 and should reconcile to social-insurance records. Concealment or false reporting can result in administrative penalties. Late filing places the company on the abnormal business directory; two consecutive years of non-filing while unreachable can lead to business-licence revocation.

Annual audit requires precise language. Article 208 of the 2024 Company Law says annual financial statements are audited “in accordance with law.” That does not impose one blanket statutory audit requirement on every ordinary SME WFOE; other laws and regulations determine the mandate. Listed companies, financial, securities and insurance entities, liquidation, and specified regulated industries have clear mandatory cases.

In practice, however, an audit report is a practical necessity and often a de facto requirement for a WFOE planning profit distribution: banks and SAFE request it for profit repatriation, and it supports foreign-exchange and annual-report data checks. A report should be issued by a PRC-licensed CPA firm; an overseas audit report is not a substitute. Completing it by April 30 provides time for the May 31 reconciliation.

8. General vs Small-Scale Taxpayer: Choosing Status for a Trading WFOE

RMB 5 million in annual taxable sales is the dividing line. A company above it must register as a general VAT taxpayer. At or below it, the company falls within the small-scale standard but may voluntarily register as a general taxpayer. The lower-sales company is not prohibited from choosing general status when its transaction chain makes input credit commercially important.

From January 1, 2026 through December 31, 2027, small-scale taxpayers applying the 3% levy rate use a reduced 1% rate, except for real-estate-related transactions. During the same fixed period, monthly sales up to RMB 100,000, or quarterly sales up to RMB 300,000, are exempt from VAT. These are time-limited measures under the 2026 Announcement No. 10, not permanent rules. The VAT Law took effect on January 1, 2026 and replaced the interim regulation while continuing the core rate and filing structure.

A trading WFOE might begin with low domestic sales and small-scale quarterly filing. Once it imports and needs to credit import VAT, or customers require special VAT invoices, it may voluntarily register as a general taxpayer. As annual taxable sales approach and then exceed RMB 5 million, general registration becomes mandatory, VAT filing becomes monthly, and purchase, inventory, invoice, and sales matching demands increase. That timeline should be modelled before the import cycle begins, not after input credit is lost.

9. The Hainan FTP Rule: Keeping Books and Accounts in the Free Trade Port

For Hainan’s 15% corporate income tax rate, substantive operation is the controlling condition. Production and operations, personnel, accounting, and assets must all be in the Free Trade Port. Registration alone does not qualify a company. The current rules in Hainan Announcement No. 3 of 2025 and Cai Shui [2025] No. 3 apply from January 1, 2025 through December 31, 2027; any later period depends on a renewal rule.

“Books in the FTP” has two concrete limbs. The basic deposit account and the bank account used for main-business settlement must be opened in Hainan FTP. Accounting vouchers, books, and financial reports must be stored in Hainan; electronic archives may be remotely accessible, but their permitted remote access does not move the archive outside the province. This requirement makes local record custody and inspection response part of china accounting services, not an optional convenience.

The 15% rate also requires an encouraged-industry main business whose revenue is at least 60% of total revenue. Accounting must separately capture encouraged-business income and expenses and preserve the evidence for that ratio. The personnel test is tiered: a business with fewer than 10 workers needs at least 3 workers resident in Hainan for 183 days; one with 10–99 workers needs at least 30% meeting 183 days; one with at least 100 workers needs at least 30 people meeting 183 days. Dispatched workers count, and the fact base requires contracts longer than one year plus Hainan social insurance.

At annual reconciliation, a claimant submits the Substantive Operation Self-Assessment Commitment Form with its CIT return by May 31. A company fails the test if it has no production or operating function and only conducts settlement, filing, or invoicing for mainland business, or if its registered and operating addresses differ and it cannot be reached. Post-closure trade measures create additional ledgers. Zero-tariff imported equipment and materials need a separate register. The supplied rule covers 6,637 tariff items, about 74%, through the dutiable-goods negative list; about 26% remains taxed. Qualifying goods with at least 30% processing value added may enter mainland China free of import customs duty, but domestic-stage VAT and consumption tax still apply. As of September 2026, the sales tax remains under research and has not been implemented, so VAT continues to apply to domestic transactions in Hainan.

10. Zero Declarations Are Not a Safety Strategy

A zero declaration is still a declaration. A company with no revenue must file the applicable VAT, withheld IIT, quarterly CIT prepayment, annual CIT reconciliation, and business annual report on time. A late zero return can still attract the filing penalty described in Section 6.

Consecutive zero declarations typically trigger Golden Tax System risk alerts after 3–6 months. The often-cited six-month period is a practice rule of thumb, not a uniform legal threshold. In Hainan practice, a company may be flagged after only 2–3 months and asked to explain its activity and records. This risk signal is different from not filing all taxes for three consecutive months, which can lead to abnormal taxpayer status under the supplied practice record.

Long-term zero activity also conflicts with a claim to Hainan’s 15% CIT incentive. That rate requires substantive operation across production and operations, personnel, accounting, and assets. Repeatedly reporting no activity while claiming the preferential rate can prompt review, loss of eligibility, and tax recovery. A dormant company therefore needs compliant tax filing, but a company claiming an operating incentive needs real, documented operations as well.

Management should treat a zero return as an exception requiring evidence, not as an automatic default selected by software. Each period, confirm whether bank interest, shareholder funding, reimbursed expenses, accrued salary, imports, contract deposits, or invoices create entries even when there is no sales revenue. Retain the review and the reason for the zero figure so that a later enquiry can be answered from records rather than reconstruction.

11. Record Retention: 30 Years for Vouchers, 10 Years for Tax Records

China applies two overlapping retention systems. Ministry of Finance and National Archives Administration Order No. 79 classifies accounting archives by 30-year, 10-year, and permanent periods. Article 29 of the Implementing Rules of the Tax Administration Law separately requires tax-related records to be kept for at least 10 years. Where the categories overlap, apply the longer period.

An archive index should identify each record class, period, format, storage location, responsible custodian, and scheduled disposal date. Digital storage should preserve authenticity, readability, and retrieval throughout the full term.

12. Make Bookkeeping an Operating Control, Not a Year-End Repair

Three 2026 changes converge: paper VAT special invoices ceased on July 1 and the fully digital regime applied from August 1; Golden Tax Phase IV compares the five evidence flows; and Hainan’s post-closure framework makes “books in the FTP” a substantive-operation condition. China bookkeeping is therefore not merely an administrative cost. It supports the 15% CIT qualification, annual-report credibility, and the evidence required for profit repatriation.

Even with zero revenue, a WFOE must keep proper accounting books in Chinese using RMB as the base currency and file periodic tax returns — including zero declarations (VAT, withheld individual income tax, quarterly CIT prepayments) and the annual CIT reconciliation by May 31. Zero declaration is not the same as no declaration: missing a filing deadline still triggers fines under Article 62 of the Tax Administration Law and can lead to abnormal taxpayer status.

What does the “accounting records in Hainan” rule mean for 15% corporate income tax?

To claim Hainan FTP’s 15% corporate income tax rate, a company must meet the substantive operation requirement, which has four elements — production and operations, personnel, accounting (“books in the FTP”), and assets all located in Hainan. “Books in the FTP” means two concrete conditions: (1) the basic deposit account and the main settlement bank account must be opened with banks in Hainan FTP; and (2) accounting vouchers, books and financial reports must be stored within Hainan (electronic archives that can be accessed remotely are acceptable). Using an out-of-province bookkeeping provider that keeps your records outside Hainan breaks this condition. The current substantive operation rules are valid through 31 December 2027.

Is an annual statutory audit mandatory for every small WFOE in China?

This is where English sources often overstate the rule. Legally, the 2024 Company Law (Article 208) requires companies to prepare annual financial statements and have them audited “in accordance with law” — meaning the audit mandate depends on other specific laws and regulations. For a typical small or medium-sized SME WFOE, there is no blanket legal requirement; statutory audits are clearly mandated for listed companies, financial/securities/insurance entities, liquidation, and certain regulated industries. In practice, however, an audit report is a de facto necessity: banks and SAFE require it for profit repatriation, and it supports foreign exchange and annual report data checks. Plan for an audit each year if you intend to remit profits. The report must be issued by a PRC-licensed CPA firm — an overseas auditor’s report is not a substitute.

What is the deadline for the china annual report (business license annual report)?

The annual business report must be filed between 1 January and 30 June each year through the National Enterprise Credit Information Publicity System (www.gsxt.gov.cn). It is free and publicly visible. Since 2020, foreign-invested enterprises file under the “multi-report consolidation” system — FDI equity data, foreign exchange, customs (if applicable) and social insurance figures are all submitted through this one portal; no separate MOFCOM joint annual report is needed. Late filing lands the company on the abnormal business directory; two consecutive years of non-filing with the company unreachable can lead to revocation of the business license. What is the deadline for annual corporate income tax reconciliation in China?

31 May of the following year. Every WFOE that operated in China during the year must file the annual CIT reconciliation and settle any tax payable or refundable, regardless of profit or loss — including companies that made zero declarations all year. Related-party (transfer pricing) filings are submitted together with the CIT return where applicable. Late filing carries fines of up to RMB 10,000, and any tax paid late accrues a daily surcharge of 0.05% (about 18.25% annualized). Hainan entities claiming the 15% rate must also submit the Substantive Operation Self-Assessment Commitment Form with the annual return. Current Hainan substantive operation rules run through 31 December 2027.

Can our overseas director manage monthly tax filing remotely?

Yes. Day-to-day filings do not require the legal representative to be in China. Through the electronic tax bureau, the legal representative can authorize a local financial officer or a licensed bookkeeping firm using a digital tax certificate (U-key) or the electronic business license, after completing real-name verification. The authorized person handles monthly filing, fapiao matters and correspondence with the tax officer. However, the company must maintain a reachable registered address and cooperate with tax inspections — remote bookkeeping does not mean no local presence. For Hainan entities, accounting records must be stored in Hainan and the basic and main settlement accounts must be opened in Hainan, so a local Hainan-licensed provider is effectively required.

What is the difference between fapiao for bookkeeping, tax deduction and VAT input credit?

Three separate rules apply. (1) Bookkeeping entry — any legitimate voucher can support an accounting entry. (2) CIT pre-tax deduction — vouchers must be authentic, legal and relevant (per the 2018 SAT Announcement No. 28); for taxable transactions, a compliant fapiao is mandatory. (3) VAT input credit — only a compliant VAT special fapiao (digital e-fapiao) that is not in a non-creditable category qualifies. One fapiao may satisfy one rule but not all three. Under China’s fully digitalized e-fapiao rollout (paper VAT special invoices cease nationwide from 1 July 2026; digital-only from 1 August 2026), the XML file with its digital signature is the sole legally valid archival original — OFD allows signature verification and PDF is preview only. Keeping only PDFs means the voucher is invalid in an audit and the related costs cannot be deducted pre-tax. E-fapiao cannot be voided, only reversed with a red-letter invoice.

Did Hainan replace VAT with a sales tax after the customs closure?

No. The Hainan FTP Law envisages consolidating VAT, consumption tax and other levies into a single retail-stage sales tax, but as of September 2026 the sales tax is still under research and has not been implemented. VAT continues to be levied as normal on domestic transactions within Hainan. Note also that zero tariffs after the 2025-12-18 island closure cover 6,637 tariff items (about 74%), managed through a negative list — not all goods — and goods processed in Hainan with at least 30% value added are exempt from import customs duty when entering the mainland but still attract VAT and consumption tax.

What are the penalties for late tax filing in China?

Under Article 62 of the Tax Administration Law, late filing carries an administrative fine of up to RMB 2,000, or RMB 2,000–10,000 in serious cases. Late payment of tax accrues a daily surcharge of 0.05% of the unpaid amount (about 18.25% annualized), with no cap. First-time, minor violations that are promptly corrected may qualify for the “no penalty for first violation” policy — but this waives the administrative fine, not the surcharge or the tax itself. If a company fails to file any tax for three consecutive months, the system can classify it as an abnormal taxpayer: fapiao issuance is restricted, bank accounts may be frozen, the legal representative’s credit record is affected, and the tax credit rating is downgraded. Tax evasion (concealed revenue or false declarations) carries a surcharge of 50%–500% of the underpaid tax plus criminal liability where applicable.

What is the difference between general and small-scale VAT taxpayers for a china bookkeeping client?

The dividing line is RMB 5 million in annual taxable sales: above it, registration as a general taxpayer is mandatory; below it, a company defaults to small-scale status but may voluntarily register as a general taxpayer. General taxpayers apply 13%/9%/6% rates, can credit input VAT and file VAT monthly. Small-scale taxpayers use a 3% levy rate reduced to 1% from 1 January 2026 to 31 December 2027 (except real-estate-related transactions), cannot credit input VAT, file VAT quarterly, and enjoy a threshold exemption — monthly sales up to RMB 100,000 (quarterly RMB 300,000) are exempt from VAT, also through 31 December 2027. For a trading WFOE that imports goods and needs to credit import VAT or issue special VAT fapiao to customers, registering as a general taxpayer usually makes sense, even below the RMB 5 million line.
