01Can a foreign investor own 100% of a Hainan company?
Often, yes. A wholly foreign-owned limited company is possible in many permitted industries. The actual answer depends on China’s current foreign-investment negative list, sector licensing rules and the proposed business scope. Restricted or prohibited activities need separate analysis before incorporation.
02What type of company do foreign founders usually register?
Many operating businesses use a limited liability company with one or more foreign shareholders. A representative office, partnership or branch may fit a narrower purpose, but each has different limits on contracting, invoicing, hiring and liability. The structure should follow the intended China activity, not a generic template.
03Is there a minimum registered capital?
Many ordinary limited companies do not have a single universal statutory minimum, but regulated sectors may. The subscribed amount must still be commercially credible and contributed within the deadline that applies under current company law. An unnecessarily high amount creates a real shareholder obligation; an unrealistically low amount may not support licensing, banking or operations.
04Can overseas shareholder documents avoid notarization?
In qualifying Hainan registration cases, yes. Facilitation measures effective in June 2025 allow certain overseas corporate investors to use a qualification-document copy, an authorized recommendation letter and an authenticity commitment; eligible foreign individuals may use a fully electronic route. It is not a blanket exemption—investor type, sector, credit status, country and filing route must be checked first.
05How long does Hainan company registration take?
A business licence may be issued in as fast as 1–3 working days after a complete application has been formally accepted. Name and scope preparation, overseas documents, address confirmation, electronic signatures, corrections, regulated approvals, chops, banking, tax onboarding and FDI registration make the full launch longer. We plan the end-to-end sequence rather than quoting only the licence stage.
06Must the foreign shareholder travel to Hainan?
Much of the document preparation and some registration work can be coordinated remotely. Electronic identity verification may also be available. A bank, notary, authority or regulated process can still require the shareholder, legal representative or authorized person to appear in person. Confirm this before booking travel or promising a remote-only setup.
07Which documents are normally required?
The starting file commonly includes shareholder identification or corporate registry evidence, ownership and signatory information, proposed names, business activity, capital, governance appointments, legal representative details and premises evidence. Corporate shareholders usually need board authority and an authenticity route. The final checklist depends on the investor and filing method.
08Why does the Chinese business scope matter?
The registered scope affects what the company may contract, invoice and apply to do. It can also affect licensing, tax classification, banking questions and policy eligibility. A scope copied from another company may be too broad for approval or too narrow for the intended revenue. It should describe the actual operating model in terms accepted by the registry.
09How long does a corporate bank account take to open?
There is no universal timeline. Banks conduct their own KYC, beneficial-owner, business-model, premises and transaction reviews. The legal representative may need to attend, and a bank can request contracts or additional evidence. A prepared file can reduce avoidable delay, but registration of the company does not guarantee account approval.
10How is foreign registered capital brought into China?
After the company and the relevant bank and foreign-investment registrations are ready, the investor contributes capital through the designated banking route using the correct transaction purpose and supporting records. Timing, currency conversion and use of funds must follow bank and foreign-exchange requirements. Do not send shareholder capital to an ordinary operating account without instructions.
11Does a Hainan company need monthly bookkeeping?
Yes. A company needs accounting records and must meet the filing calendar assigned to it even when revenue is low or the business has not started. Bank statements, invoices, contracts, payroll and expenses should be collected consistently. Nil activity does not mean the company can ignore tax filings, annual reporting or official notices.
12Does every Hainan company pay 15% corporate income tax?
No. The preferential 15% rate is for qualifying encouraged-industry enterprises that are registered and substantively operating in Hainan under the applicable rules. Industry fit, qualifying revenue and actual operations matter. Other companies generally remain subject to the tax treatment that otherwise applies, and registration in Hainan alone does not create eligibility.
13What does substantive operation in Hainan mean?
The official tax standard focuses on real management and control over business operations, people, accounts and assets. Evidence may include local decision-making, employees, payroll, premises, contracts, banking, invoices, ledgers, tax filings and equipment proportionate to the activity. A registered address by itself is not proof of substantive operation.
14Does the zero-tariff policy cover 74% of goods?
Following island-wide special customs operations, the scope expanded to about 6,600 tariff lines—roughly 74% of product lines. That headline is not automatic duty-free treatment for every import. The tariff code, importer eligibility, negative or dutiable-goods catalogues, permitted use, processing and movement to mainland China all affect the result.
15What changed with island-wide special customs operations?
Hainan launched island-wide special customs operations on December 18, 2025. The framework follows freer access between Hainan and overseas markets at the first line, regulated access between Hainan and mainland China at the second line, and freer movement within the island. Businesses still need customs classification, records and controls suited to their goods and transactions.
16How does the 30% value-added processing policy work?
Qualifying goods produced by eligible encouraged-industry enterprises may enter mainland China free of import duty when processing in Hainan reaches the required value-added threshold. Product scope, enterprise status, imported inputs, production records and the calculation method matter. Import VAT and consumption tax may still apply, so a customs review is needed before relying on the benefit.
17What is an EF account?
An EF account is Hainan’s multi-functional free trade account framework for eligible domestic and foreign currency transactions, including approved cross-border settlement, exchange, investment and financing scenarios. Participating banks still perform account opening, KYC and transaction review. Public fast-settlement cases are examples, not a guaranteed two- or three-hour service level.
18Can I register using only a virtual address?
A registered-address arrangement may be available depending on the property, park, business scope and registry acceptance. It does not automatically satisfy bank review, licensing, staffing or substantive-operation requirements. The address documents, mail handling, access rights and permitted use should be confirmed before the company relies on it.
19Must a Hainan company hire local staff?
There is no single headcount rule for every ordinary company, but staffing must fit the activity and any licence or policy claimed. For substantive-operation analysis, local management, employees, payroll and social-insurance evidence can be important. A company seeking preferential treatment should not assume an address and outsourced bookkeeping are enough.
20Can eligible foreign visitors enter Hainan visa-free for business meetings?
Ordinary-passport holders from 59 designated countries may use Hainan’s regional visa-free policy for up to 30 days for permitted short-term purposes including commercial activities, trade, visits and exchanges. It does not cover employment or long-term study, and the Hainan-only geographic limits and entry rules must be observed. National visa-free policies may provide a different route for some travelers.
