How Foreign Investors Register a Hainan Company in 3 Working Days (2026 Update)

Since June 2025, qualifying foreign investors can use simplified document routes to register a company in Hainan. Here is the process, recommendation letter, commitment system, and online registration route.

Foreign investors used to spend four to eight weeks preparing a China company filing when passports or overseas corporate records had to pass through notarization, authentication or Apostille procedures. In an eligible, complete and pre-checked Hainan case, the business-licence stage can now move in as few as three working days, while qualifying investors may use a simplified document route that does not require those formalities.

The turning point was Hainan’s foreign-invested enterprise registration facilitation measure, effective from 9 June 2025. It introduced conditional alternatives for overseas investor documents and expanded fully electronic processing. Hainan added a second group of facilitation measures in June 2026, including more identity-verification and document-reuse options.

This guide explains how to register a company in Hainan, what the three-day target really covers, which documents may be simplified and what still has to happen after the licence arrives. It is a planning guide, not a timing or approval guarantee. Rules, platform procedures and authority practice can change, so verify the current route with the competent market-regulation authority before relying on a specific detail.

What Changed in June 2025?

Before the reform, a foreign individual was commonly asked to legalize identity documents, while an overseas corporate shareholder might need to legalize its certificate of incorporation, registry extract or equivalent qualification document. Depending on the home jurisdiction and document route, the process could involve a notary, a government authentication office, an Apostille or a Chinese embassy or consulate. Courier time, translation and corrections could add weeks and several separate charges before a Hainan application was ready.

The Hainan Administration for Market Regulation’s 2025 facilitation measure created a more direct route for qualifying foreign-invested enterprises outside the relevant registration negative-list fields.

For an overseas corporate investor, the measure permits a copy of the investor’s qualification document together with a recommendation letter issued by the Hainan Provincial Bureau of International Economic Development or a city or county people’s government. The applicant also makes a written commitment that the document is genuine, lawful, valid and consistent with the copy. Where the designated representative or agent has completed real-name verification and the other conditions are met, the measure says notarization, authentication or an Apostille is not required.

For a foreign individual, the measure allows a copy of the identity document. A fully electronic filing that completes the required online identity verification may also avoid notarization, authentication or an Apostille. This distinction matters: a recommendation letter is not automatically required for every individual investor, and a generic letter from any local business is not equivalent to the recommendation route specified by the authority.

The simplified route is conditional. Applicants with serious adverse credit records or a history of false commitments may be excluded until credit remediation is complete. Regulated or restricted activities, failed identity verification and an incomplete filing can also require a different process.

The second group of Hainan facilitation measures, effective 30 June 2026, added routes for reusing eligible investor documents already held in Hainan, progressive cross-province recognition and online identity verification using an eligible UnionPay bank card and registered mobile number. These additions do not turn every application into a paperless case; the authority assesses the route that fits the investor and filing.

The 3-Working-Day Timeline

Hainan has worked toward compressed enterprise-opening timelines for years. A 2019 provincial market-regulator announcement set a three-working-day enterprise-opening target covering establishment registration plus seal and initial invoice steps. This is a service target, not a promise that every foreign-invested company will receive a licence on a fixed date.

For planning purposes, the following is a realistic fast-track sequence when the business scope has been screened, the address is accepted, the investor qualifies for the intended document route and the filing has received advance guidance.

Day 1: Name declaration and document submission

Prepare three to five Chinese company-name options in the required order and check them through Hainan’s e-registration system. The filing pack normally covers the investor, registered capital, legal representative, governance appointments, business scope, registered address and articles of association.

Upload the investor’s passport or corporate qualification record through the applicable route. If the case relies on the 2025 facilitation measure, include the required recommendation document and authenticity commitment. Electronic signatures and identity verification must match the people and roles stated in the application.

Day 2: Registration review

The market-regulation authority reviews the application for completeness, consistency and compliance. A clean, pre-checked filing may move directly toward approval. If the authority identifies an inconsistent name, unsuitable business-scope wording, missing signature, address issue or identity-verification problem, it can request a correction or additional material. A correction pauses the ideal schedule, even if feedback arrives quickly.

Day 3: Business licence and chops

After approval, the company receives its business licence, including the Chinese company name, unified social credit code, legal representative, subscribed capital, business scope and registered address. An electronic licence may be available through the applicable platform, while access for a foreign legal representative depends on supported identity-verification methods. Standard company chops can then be produced through the local opening workflow.

This three-day example refers to an uncomplicated licence-stage filing. It should not be described as China’s guaranteed fastest timeline, and a fair comparison with Shanghai, Shenzhen or another province would require the same investor type, business scope, document readiness and service definition. What Documents Do You Actually Need?

The exact checklist changes with the shareholder type, company structure, business scope and identity-verification route. Use the following as a preparation list, then confirm it against the current authority checklist.

From an individual investor

  • a clear copy of the valid passport photo page;
  • current email address and mobile number;
  • residential and contact information requested by the filing; and
  • the information needed for online identity verification and electronic signature, if that route is available.

An overseas corporate shareholder will instead need its current qualification or registry document, ownership and authorized-signatory information, and the corporate approvals required for the investment. The 2025 recommendation route is particularly relevant to qualifying overseas corporate investors; it should not be assumed before the issuing authority and eligibility conditions are confirmed.

Coordinated locally

  • the qualifying recommendation letter, where the approved route requires one;
  • compliant registered-address evidence appropriate for the business scope;
  • articles of association reflecting capital, governance and profit-distribution arrangements;
  • business-scope wording and any sector-access review; and
  • director, supervisor, manager and legal-representative appointment documents as applicable.

A workstation or address service may be usable only when it is lawful, accepted for the proposed activity and capable of receiving official correspondence. A regulated business, staffed office, warehouse, clinic, school or customer-facing premises may need a different property solution.

Signed or confirmed by the investor

  • the authenticity commitment required by the simplified document route;
  • the establishment application and articles;
  • governance and legal-representative appointments; and
  • electronic signatures or other confirmations required by the platform.

What an eligible simplified filing may avoid

  • notarization of the relevant investor document;
  • consular authentication or an Apostille for that document;
  • international mailing of the corresponding original solely for registration; and
  • an in-person visit solely for the licence application.

These are conditional savings, not universal exemptions. A bank, licensing authority or another post-registration agency can request originals, additional verification or attendance for its own review.

What Happens After You Get the Licence?

The three-working-day headline ends at the company-opening or licence stage. It does not mean the company is ready to receive every payment, issue every invoice, hire staff or access a Hainan policy on day three.

Typical next steps are:

  1. Company chops. Produce and securely control the company, finance and other required seals. In a streamlined case this may be coordinated on the licence day.
  2. Bank onboarding. Prepare the ownership chart, business plan, contracts or transaction evidence, address information and expected payment flows. Banks conduct independent KYC and may require a visit or video interview. Three to five working days can be a planning range for a straightforward case, but approval and timing are never guaranteed.
  3. Foreign-investment and foreign-exchange coordination. Confirm the correct route before remitting registered capital. Official Hainan guidance notes that a newly established foreign-invested enterprise may need its business licence and a domestic direct-investment registration form for bank-side basic information registration.
  4. Tax, invoice and social-insurance onboarding. Confirm taxpayer information, filing dates, invoice arrangements and employer registrations where staff will be hired. A one-to-two-day administrative target may be possible for simple cases, but authority and system requirements control the result.
  5. Monthly bookkeeping. Accounting and tax compliance begin from the registration period even if the company has not yet generated revenue. Assign responsibility before the first filing deadline.

As a practical planning range, a simple company may reach basic operational readiness in roughly two to three weeks after a complete filing begins. Regulated scopes, corporate shareholders, complex KYC, licence applications or corrections can take longer. Treat this as project planning, not an official processing commitment.

Who Is Eligible for This Fast-Track Process?

Foreign individuals and overseas companies can establish foreign-invested enterprises in Hainan, subject to China’s foreign-investment access rules, Hainan’s special negative list, market-access rules and sector licensing. The legal ability to invest does not by itself confirm that a particular business scope, premises or fast-track document route will be accepted.

For most ordinary limited-liability companies there is no single universal minimum registered capital. Some regulated activities have special requirements. Under the current Company Law framework, shareholders of a newly established limited-liability company generally must complete subscribed capital contributions within five years, so the amount should be commercially realistic rather than an arbitrary marketing number. Hainan’s special foreign-investment negative list contains fewer measures than the national version, but “not prohibited” does not always mean “unlicensed.” Consulting, technology, e-commerce, trading, logistics, tourism, education and medical projects can contain both accessible and restricted or permit-controlled activities depending on the exact service. Review the actual business model and Chinese scope wording before signing documents.

Can a foreign investor register a company in Hainan without visiting China?

An eligible registration application may be completed electronically. The result depends on whether the investor can complete the required identity verification and signatures. Bank onboarding is separate and may require an in-person meeting or video verification.

Does every foreign investor qualify for the no-notarization route?
