Corporate structuring in Hainan FTP explained: 15% tax for holding companies vs Singapore, Hong Kong & BVI. Substance rules, 2026 setup steps + free consult.

Corporate structuring in Hainan FTP should not begin as a tax-rate contest: put 0%, 8.25%, 15% and 17% in a table and circle the smallest number.

That fails because the jurisdictions do different jobs. BVI can be a shareholding vehicle; Hong Kong supports trade and treasury; Singapore supports headquarters, finance and investors; Hainan is an onshore China operating jurisdiction with conditional Free Trade Port policies.

The real decision is which entity performs which function, and where the people, decisions, contracts, money and assets sit. One company may be enough; a Singapore parent and Hainan operator may also fit. Layers without functions only multiply compliance.

This guide compares tax, registration and maintenance cost, cross-border money flow, substance, treaty access and market role using information available in 2026. It is a planning framework, not a recommendation to use a particular structure.

Corporate tax: headline rate versus usable outcome

Singapore taxes chargeable income at 17%. The Inland Revenue Authority of Singapore states that the partial exemption from YA 2020 covers 75% of the first S$10,000 and 50% of the next S$190,000. New-start-up rules and temporary rebates can change a case, so no universal “effective rate” should be promised.

Hong Kong’s two-tier regime applies 8.25% to the first HK$2 million of assessable profits of a qualifying corporation and 16.5% above. The Hong Kong Inland Revenue Department explains that only one nominated entity in a connected group generally receives the two-tier treatment. Hong Kong also applies a source-based system, but “offshore income is tax free” is not an automatic rule; facts, the foreign-sourced income regime and anti-avoidance provisions matter.

Hainan companies remain Chinese taxpayers. The standard corporate income tax rate is generally 25%. A 15% rate may apply to a qualifying encouraged-industry enterprise whose qualifying revenue reaches the required share and whose operations are substantively managed and controlled in Hainan. BVI is commonly described as a zero-corporate-tax jurisdiction. That does not make the structure tax-free. The company may be tax resident elsewhere, its owners may face controlled-foreign-company or attribution rules, and payments from operating countries may suffer withholding tax. A BVI company conducting a relevant activity may also fall within the economic-substance regime.

The useful calculation is:

tax in the entity + withholding tax + owner-jurisdiction tax + annual compliance + substance cost + the commercial value of market access.

A rate matters only when functions, contracts, people, decisions and records support it.

Registration and annual maintenance costs

Official fees are only a starting point. ACRA lists S$15 for a Singapore name and S$300 for registration. The Hong Kong Companies Registry lists HK$1,545 for electronic incorporation, plus business registration. The BVI statutory fee schedule lists US$550 for the common share-capital band, before other filings and agent costs.

Hainan company establishment is not usefully budgeted as a government filing number. Address, foreign investor documents, translation, company chops, bank preparation, tax activation and professional coordination dominate the practical cost. Do not compare Singapore’s S$315 filing fee with a USD 2,500 Hainan service package: one is a registry charge and the other includes professional work. BVI agent quotes may also bundle statutory and service costs.

For budgeting conversations across Southeast Asia, the European Central Bank’s 27 July 2026 reference rates imply approximately CNY 5.24, HKD 6.08 and THB 26.0 per SGD, and approximately SGD 1.29, HKD 7.84, CNY 6.77 and THB 33.6 per USD. These are information-only reference conversions, not transaction rates. Update them before signing a proposal.

Compare the same scope: incorporation, office, officers, accounts, audit, tax, bank support, licences, substance and staff. Hainan can be cost-effective when it replaces another mainland layer, but “one-third to one-fifth” is not a reliable universal claim.

Cross-border fund flows: can the money follow the business?

Singapore and Hong Kong have no general foreign-exchange controls, but banks still examine ownership, funds, purpose, activity and countries. Currency freedom does not guarantee an account.

A Hainan company normally starts with mainland corporate accounts under China’s foreign-exchange framework. The EF account system gives eligible entities additional cross-border settlement functionality through participating banks. By the end of 2025, official Hainan reporting said 11 banks had launched EF services and 810 accounts had been opened. Read the EF account guide before assuming that an EF account removes documentation or bank review.

The transaction type still controls the evidence:

  • registered capital follows foreign direct-investment and bank procedures;
  • shareholder loans require the applicable registration, limits and documentation;
  • service and royalty payments need genuine contracts, delivery records, tax treatment and arm’s-length support;
  • dividends require distributable after-tax profit, company approvals, tax and bank records; and
  • goods payments must match customs, invoices and logistics.

BVI has no general exchange-control barrier, but banking may be the constraint. Banks examine purpose, management, assets, owners, reporting and substance. A simple shell can be harder to bank than an operating entity.

If the core customers and staff are in China, a Hainan operating company can be more practical than routing every domestic flow through an offshore entity. If the core capital, investors and regional customers are outside China, Singapore or Hong Kong may remain the stronger treasury centre.

Substance: where does the company need to be real?

Singapore requires a local registered office and at least one director who is ordinarily resident in Singapore, plus a company secretary within the statutory period. Those formal requirements are only the beginning when the company claims Singapore tax residence or treaty benefits. Board control, management, employees, functions and records must support the position.

Hong Kong requires a registered office and company secretary, annual reporting, accounting and generally audit for a local company. Tax residence, profit source and treaty claims remain fact-driven. A nominee address or secretary does not relocate an overseas business function by itself.

Hainan’s 15% rate has an explicit substantive-operation framework. The company must exercise real management and control over operations, people, accounts and assets in Hainan. Current staffing rules also use a size-based threshold: a company with fewer than 10 employees needs at least three qualifying employees; one with 10–99 needs at least 30% of the workforce; and one with 100 or more needs at least 30. Each person counted must individually accumulate at least 183 days of residence in Hainan during the tax year. The substantive-operation and 183-day guide explains the evidence.

BVI’s economic-substance law applies by reference to specified relevant activities, including holding business, headquarters business, finance and leasing, intellectual property, distribution and service-centre business. The BVI Government’s economic-substance page links the legislation and rules. A pure equity holding entity may face a different test from an IP or headquarters business, so “every BVI company needs a full office and staff” is as inaccurate as “no BVI company needs substance.”

Formal incorporation requirements are not the substance needed for a tax result. Put real functions where the structure says they occur.

Treaty networks: size is not entitlement

Singapore’s tax authority lists DTAs, limited DTAs and exchange-of-information arrangements with around 100 jurisdictions. Mainland China had signed double-tax agreements with 111 foreign jurisdictions by the end of July 2025, with 108 in force, according to the State Taxation Administration. A Hainan company uses China’s treaty network because it is a Chinese resident company when the applicable residence conditions are met.

Hong Kong maintains its own growing network of comprehensive agreements. BVI publishes a wider list of tax-information-exchange agreements, but its comprehensive income-tax treaty access is much narrower.

Network size is only a first filter. A treaty benefit normally depends on residence, beneficial ownership, the income article, limitation or anti-abuse provisions, domestic law and the actual functions of the recipient. A Singapore shell inserted only to claim a lower withholding rate may fail precisely because it lacks the substance and commercial purpose the structure should demonstrate.

Hainan holding company formation: when it fits

Hainan holding company formation is most coherent when the Hainan entity performs real mainland functions rather than serving only as a passive offshore layer. A foreign shareholder can hold a Hainan operating company, but the ownership chain, beneficial owners, sector access, capital, banking, tax residence and dividend route should be mapped before filing. If regional fundraising or treasury sits in Singapore or Hong Kong, the Hainan company may be a subsidiary instead of the top holding company. The structure should match real management and transactions; registering in Hainan alone does not secure the 15% CIT rate or treaty benefits.

The dual-centre model: Singapore holding plus Hainan operations

A Singapore parent and Hainan subsidiary can work well when each entity has a distinct, documented job.

The Singapore company might raise regional capital, hold shares, manage non-China contracts, employ regional leadership or conduct treasury functions. The Hainan company might employ the China team, lease Chinese premises, contract with mainland customers, issue domestic invoices, import or process eligible goods and perform local delivery.

The structure can combine Singapore’s investor and financing ecosystem with Hainan’s mainland operating access. It may also allow the Hainan company to assess the 15% CIT, zero-tariff or EF-account frameworks on its own facts. None of those outcomes is automatic.

The risk appears when the documents say one thing and the operation does another. If Singapore invoices a management fee but has no management team, or Hainan claims the operating profit while the value-creating work sits elsewhere, authorities and banks may challenge the arrangement. Intercompany services, IP licences, loans, goods and dividends need genuine commercial rationale, arm’s-length terms and complete evidence.

The table is a starting screen. The best answer can change with one fact: a regulated licence, a Chinese customer invoice requirement, a resident director, a future investor mandate, an import tariff code or the tax residence of the controlling family.

Before adding a second or third entity, calculate the annual compliance cost and write one sentence describing its function. If the sentence only says “tax efficiency,” the design is incomplete.

Why Hainan deserves a second look in 2026

Hainan’s island-wide special customs operations began on 18 December 2025 under the “first line open, second line controlled” framework. An official Hainan update reported that zero-tariff coverage expanded to 6,637 tariff lines, about 74% of products. The list does not mean every import by every Hainan company is duty-free; entity status, product classification, use and second-line movement remain decisive.

Qualifying goods processed in Hainan with at least 30% value added may enter mainland China free of import duty under the applicable rules. The NDRC policy explanation describes the mechanism. VAT, consumption tax, records and product requirements still need review.

For a Southeast Asian company that genuinely needs mainland operations, these measures can change the logistics and tax model. Hainan also provides the ordinary advantages of a Chinese company: local contracts, employees, accounts and invoices. That combination—not a claim that Hainan is an offshore tax haven—is its differentiator.

The decision should still begin with the operation. A financial holding company may prefer Singapore. A regional trading company may prefer Hong Kong. A passive vehicle may screen BVI. A company importing, processing, selling or delivering services into mainland China may find Hainan the strongest operating candidate.

Common questions

Can a BVI company hold shares in a Hainan company?

It can generally be considered as a foreign shareholder, subject to foreign-investment access, beneficial-ownership disclosure, investor documents, bank review and sector rules. Treaty access, tax residence and economic substance should be assessed before selecting the chain. A Singapore or Hong Kong intermediate company is not automatically better; it needs a genuine role.

If I set up in Hainan, do I still need a Singapore company?

No. Use a Singapore parent only if it performs a regional financing, investment, contracting, treasury or management function that justifies the extra entity. If the whole business is in Hainan, a direct ownership structure may be clearer and cheaper.

What happens if I do not meet Hainan’s substance requirements?

The company may still operate lawfully, but it generally cannot rely on the 15% Hainan CIT preference and would normally face standard treatment. Each customs, talent, banking or other policy has its own conditions; failing one does not produce a universal result for all others.

Is Hong Kong still viable for regional business?

Yes. Hong Kong retains a separate company, tax, customs and monetary system and can suit trading, treasury and holding functions. Evaluate the actual management, bank access, customer location, tax residence and whether mainland employees or invoices require a separate Chinese company.

What is the 30% value-added tariff policy?

Qualifying goods processed in Hainan that achieve at least 30% value added may enter mainland China free of import duty. Which jurisdiction is cheapest?

There is no universal cheapest option. Compare the same scope: registry, office, secretary or agent, accounts, audit, tax, bank work, substance, staff and licences. The cheapest filing can become the most expensive structure if it cannot perform the required business.

Can I move an existing Singapore or Hong Kong company directly to Hainan?

Not through a simple registry conversion. The common route is to establish a new Hainan subsidiary or operating company, then transfer contracts, people, assets or functions through documented arrangements with legal, tax and commercial review.

Can profits move freely between Hainan and the foreign parent?

Different payments follow different rules. Dividends, services, royalties, loans and goods require a valid basis, tax treatment, supporting records and bank review. An EF account can improve supported cross-border functionality but does not remove company, tax, foreign-exchange, customs or arm’s-length requirements.
