A Singapore resident can potentially hold shares in a Hainan limited company as an individual, while an existing Singapore company can also act as the overseas corporate shareholder. Neither route is universally simpler. The choice affects the investor document pack, governance, funding, future investors and how profits move through the group.

Direct individual ownership may fit a founder building a standalone China business with no regional parent. It avoids adding the Singapore company’s board and ownership records to the Hainan filing. However, future fundraising, succession, share transfers and regional governance may be less convenient if the founder later wants the Singapore entity to control China operations.
Using a Singapore company may fit an established regional business whose brand, intellectual property, management and investors already sit in Singapore. The Hainan company can then perform defined mainland functions. The tradeoff is a larger corporate shareholder file and the need for clear intercompany agreements, transfer pricing and cross-border payment support. The exact file depends on the shareholder, proposed governance and whether Hainan’s facilitation route is available.
Design the operating relationship
The entities should not both claim the same people, risks and customer value. Write down which company performs each function before contracts and bank flows begin.
Which entity signs mainland, Singapore and other regional customers?
Who employs and directs the staff performing each service?
Who owns technology, inventory, equipment and customer data?
Where are invoices issued, payments collected and costs incurred?
Services, royalties, loans, capital and profit distributions between the companies may require agreements, tax analysis, transfer-pricing support, withholding tax treatment and bank documents. The structure should be reviewed before the first cross-border payment.
Banking and tax reality
The Hainan bank will review the Singapore shareholder, ultimate owners, Hainan business model, premises, counterparties and expected currencies. A legal representative or authorized person may need to attend. Prepare a simple funds-flow diagram covering capital, customer receipts, supplier payments and intercompany charges.
EF accounts may support eligible cross-border settlement, exchange, investment and financing scenarios through participating banks. They do not remove KYC or transaction review. By the end of 2025, Hainan reported 11 participating banks and 810 EF accounts, but availability for a particular company and transaction remains subject to bank review. The correct account structure follows the real transaction rather than a promise of instant settlement.
For tax, Singapore’s headline corporate rate is 17%, while Hainan’s 15% rate—currently extended through 31 December 2027—is conditional on encouraged-industry qualification, the revenue test and substantive operation. Decide where management, employees, accounts and assets genuinely sit. A Singapore address and a Hainan address cannot replace the functions expected in each location. Plan the visit
Singapore and Hainan are both on UTC+8, so working calls do not require a time-zone handover. Scoot currently markets nonstop Singapore–Haikou service with a typical flight time of about 3 hours 45 minutes; Hainan Airlines has also operated the route. Airline schedules change, and direct Sanya availability varies, so confirm the operating carrier and dates before arranging authority or bank appointments.
Singapore ordinary-passport holders may enter China visa-free for up to 30 days under the reciprocal China–Singapore arrangement effective from 9 February 2024, subject to prevailing entry conditions and a permitted visit purpose. Visa-free entry does not authorize employment. Check passport validity, entry rules and the purpose of travel before departure.
Allow two to three business days for a focused setup visit when bank meetings, premises viewing and adviser appointments are needed. This is a practical scheduling suggestion, not a processing promise: a bank may request attendance, video verification or additional KYC, and a premises visit depends on the bank, activity and individual case.
English-language planning can begin with the service team, but Chinese documents and local authority or bank communication remain part of execution. WeChat is the primary local channel. WhatsApp can remain useful for offshore coordination, but it may not be reliably accessible through mainland networks.
Company registration preparation—and an eligible electronic filing—can begin before travel. Bank onboarding, identity verification or a premises check may still create an on-site step. If the business will import or process ASEAN goods, screen the product model separately against the Hainan zero-tariff and 30% value-added rules; company registration alone does not create customs eligibility.

Not necessarily. Hainan's June 2025 facilitation measure allows qualifying applications to use a recommendation letter and commitment route instead of notarization, authentication or Apostille for the relevant investor document. Eligibility depends on investor type, activity, credit status and filing method.
For a complete, eligible and pre-checked application, the business-licence stage may be completed in as few as three working days. This is not guaranteed. Full operational setup, including bank and tax onboarding, commonly requires planning over two to four weeks and can take longer for regulated or complex cases.
Most industries do not have a universal statutory minimum, although regulated sectors may impose special requirements. Subscribed capital should reflect office, staffing and operating needs and is generally payable within five years under the current Company Law framework.
The two locations overlap in areas such as international trade, tax competitiveness and Southeast Asia connectivity, but they serve different roles. Singapore is a mature international financial and shipping centre with a common-law system and generally unrestricted capital movement. Hainan is an onshore Chinese policy zone focused on China market access, manufacturing and digital operations. Many groups use a Singapore holding company above a Hainan operating company when each entity has real functions, so the locations can complement rather than replace each other.
