How Much Does It Cost to Register a Company in China? (2026 Breakdown)

A fact-checked 2026 China company registration cost guide covering documents, address, banking, compliance, registered capital, entity choices, and Hainan tax conditions.

There is no official nationwide all-in price for registering a company in China. A useful budget separates five cost buckets: setup and documents, the registered address and operational onboarding, professional service fees, recurring compliance, and sector-specific requirements. Registered capital sits outside those buckets because it is company funding, not a registration fee.

That distinction matters. A licence-only quote cannot be compared with a package that includes an address, bank and tax onboarding, or twelve months of accounting. The right question is therefore not only “How much is registration?” but “What will it cost to establish and keep this specific company compliant through Year 1 and Year 2?”

Use this table to normalize quotations. If one provider includes twelve months of bookkeeping and another stops at the business licence, their totals do not describe the same product.

1. Decide what “registered” means in the quotation

Ask the provider to label the finish line:

  1. Business-licence only: the legal entity exists, but banking, tax, invoicing or licences may still be pending.
  2. Launch-ready: the agreed chops, bank preparation or account opening support, tax onboarding and any basic invoicing setup are included.
  3. Year 1 operating package: setup plus the stated period of bookkeeping, routine filings, annual-report support and address service.

The State Administration for Market Regulation’s 2026 materials standard lists the national filing framework. It requires, among other items, the application, articles, identity or qualification documents for relevant participants, appointment documents where applicable, domicile-use documents, and approvals for activities requiring pre-approval. Local evidence and implementation still matter.

2. One-time setup costs

Registration, scope and governance preparation

The basic file must fit the intended activity, ownership and governance. A straightforward permitted service business is different from a trading company, regulated platform, healthcare project or activity requiring a pre-licence. Cost can rise when the proposed scope needs regulatory analysis, more shareholder documents, additional translations or a sector application.

Do not rely on the statement that the licence is “free” as a complete budget. There is no single nationwide all-in tariff covering the whole project. Ask the provider to separate any locally applicable administrative charge from its own professional fee and third-party disbursements.

Foreign investor documents and Chinese translation

The route depends on the investor and the issuing country. Under the 2026 SAMR standard:

  • for a foreign investor from a country where the Apostille Convention applies with China, the file generally uses the local notarized document and an apostille;
  • where the Convention does not apply, notarization and Chinese consular authentication generally remain the route;
  • qualifying documents such as a foreign permanent-residence ID, or a passport whose China entry formalities can be verified and whose original is checked, may follow stated exceptions; and
  • foreign-language filing materials must be accompanied by a compliant Chinese translation.

These are document rules, not a fixed price list. The issuing country, number of entities and documents, translation requirements, courier and turnaround time determine the cost. Confirm the exact route before ordering certificates or notarization.

Registered domicile or premises

A company must register a domicile and submit the required supporting document. The 2026 national materials standard expressly leaves the detailed domicile evidence to provincial and local rules. This means there is no safe nationwide assumption that every company needs the same type of “commercial address.”

A compliant cluster, hosted, serviced-office or physical-office arrangement may be available depending on the city, activity and local rules. Separate questions remain for bank review, tax verification, licences, inspections and Hainan substantive-operation evidence. Put the renewal price, verification support, relocation responsibility and exit terms in writing.

Chops, bank, tax and licences

Company chops, bank onboarding and tax setup are separate workstreams. Fees and process vary by location, bank and provider. A bank may request attendance, video verification, premises evidence, contracts or additional source-of-funds and business information after the licence is issued.

Sector licences, customs registration, employment setup and product approvals are not automatically included in company registration. List each required post-licence activation and who is responsible for it.

3. Recurring costs after registration

Registration creates an entity with ongoing duties. The recurring budget commonly covers:

  • accounting books and financial records;
  • tax returns and payments assigned to the company, at the applicable frequency;
  • the market-entity annual report and other annual information reporting;
  • registered-address or premises renewal;
  • payroll and social-insurance administration once staff are hired; and
  • audits, customs, licences or special reporting where actually required.

Avoid a universal claim that every company files every tax monthly. Tax type and filing period depend on the taxpayer, transaction and tax authority. A zero-revenue company still needs its assigned filing calendar managed and cannot simply be ignored.

4. Registered capital is funding, not a fee

Article 47 of the current Company Law provides that shareholders of a newly established limited liability company generally complete their subscribed contributions within five years from establishment. Laws, administrative regulations or State Council decisions can set different minimums, paid-in requirements or contribution periods for particular sectors.

There is no single statutory minimum for most ordinary businesses, but “no universal minimum” does not mean “choose an arbitrary number.” The amount should support the company’s rent, staff, suppliers and launch period. Capital belongs to the company and can be used for legitimate business expenses after contribution; it is not paid to the registry or service provider. It remains a real shareholder obligation.

5. WFOE, joint venture or representative office: cost follows capability

A joint venture can cost more to structure because partner diligence, reserved matters, deadlock, IP and exit terms need real negotiation. A representative office may have a narrower setup, but it cannot replace an entity that must be the local party to revenue-generating contracts.

For representative-office tax, accurate accounting based on actual functions and risks is the starting rule. 6. Hainan’s 15% corporate income tax: a conditional operating benefit

China’s standard corporate income tax rate is 25% under the Enterprise Income Tax Law. MOF and STA Notice Cai Shui [2025] No. 3 extends the relevant Hainan Free Trade Port corporate income tax policy through December 31, 2027.

Under the extended policy, the 15% rate can apply to an enterprise that:

  • is registered and substantively operating in the Hainan Free Trade Port;
  • has a main business within the applicable encouraged-industry catalogue; and
  • earns at least 60% of total revenue from that qualifying main business.

The State Taxation Administration’s policy Q&A confirms the revenue-share test in the context of catalogue changes. Eligibility also depends on the facts, records and rules for the relevant tax year.

For illustration only, RMB 1,000,000 of taxable income at 15% produces RMB 150,000 of corporate income tax, versus RMB 250,000 at 25%—a RMB 100,000 difference before other adjustments. This is not a promised saving. The 15% rate is not a registration discount, and a Hainan licence or hosted address alone does not establish eligibility.

7. How to compare quotes without being misled

Ask every provider for the same written schedule:

  1. exact deliverables through the business-licence stage;
  2. foreign-document, translation and courier assumptions;
  3. address type, first-year term, renewal price and verification support;
  4. chop, bank, tax and invoicing scope;
  5. sector licences and post-licence registrations;
  6. months of bookkeeping, transaction and invoice limits, annual work and exclusions;
  7. third-party costs, government charges and bank fees excluded from the quote;
  8. client attendance, documents and deadlines;
  9. total expected Year 1 and Year 2 provider charges; and
  10. refund, cancellation, handover and change-of-scope terms.

A low price can be perfectly legitimate for a narrow filing service. The warning sign is not the number itself; it is an undefined finish line, omitted recurring work or renewal pricing that is disclosed only after the licence is issued.

How much does it cost for a foreigner to register a company in China?

There is no official nationwide all-in price. The total combines locally applicable registration and document costs, an eligible registered address, bank and tax onboarding, professional fees, recurring compliance, and any sector licences. Registered capital is a separate funding commitment, not a service fee. Ask for an itemized Year 1 and Year 2 quote for the specific city and activity.

Does China charge a government fee to register a company?

Do not assume one universal national fee or that every step is free. The amount payable depends on the city and the items involved. A project can include locally applicable administrative charges, chops, document preparation, translation, address, bank, tax, licence and provider costs. Obtain a city-specific written breakdown.

What costs continue after the company is registered?

Recurring items commonly include accounting records, tax filings assigned to the company, annual reporting, registered-address renewal and provider support. Payroll and social-insurance administration begin when staff are hired, while audits, customs or sector compliance apply where required. Filing frequency and scope depend on the taxpayer and the competent authorities.

Is a representative office cheaper than a WFOE?

It can require less setup in some cases, but it is not a substitute for an operating company. A representative office cannot conduct profit-making business as a local company or issue Chinese VAT invoices. It still has tax and reporting duties. Accurate accounting is the starting rule; a deemed method may apply when income or costs cannot be accurately calculated.

Is registering in Hainan automatically cheaper than Shanghai or Shenzhen?

No. Address, service and operating costs depend on the actual project. Through December 31, 2027, an eligible encouraged-industry enterprise registered and substantively operating in Hainan may use a 15% corporate income tax rate, but the industry, revenue-share and substantive-operation conditions must be met. The incentive is not a registration discount and is not automatic.

Why do some providers quote only a few hundred dollars?

A low headline can cover only a narrow filing scope rather than a launch-ready company. Check whether the quote includes foreign-document work, translation, address, chops, bank and tax onboarding, licences, first-year accounting, annual reporting, renewals and third-party disbursements. A low quote is not necessarily misleading, but it is not comparable until the scope and exclusions are written down.

How much registered capital do I need, and is it a cost?

Most ordinary sectors do not have one universal statutory minimum, although special sectors can have their own rules. For a newly established limited liability company, shareholders generally must complete subscribed contributions within five years from establishment. The capital belongs to the company rather than the government or provider, but it is a real funding obligation and should match the operating plan.
