Foreign founders often ask for one number: How much does it cost to register a company in China? The honest answer depends on what the quotation includes.

A low headline price may cover only the business-licence filing. A workable first-year budget may also need a compliant registered address, overseas-document handling, chops, bank onboarding, tax and invoice setup, bookkeeping, regulatory filings and sector-specific licences. Registered capital is another cash-flow commitment, but it is not a service fee.

This guide separates those categories and uses Hainan Setup’s published package prices as transparent anchors. It also explains which Hainan policies can reduce long-term costs—and why none of them should be treated as automatic.


1. The Short Answer: Practical 2026 Budget Anchors

2. What You Are Actually Paying For

Business-Licence Filing

For a standard company, the market-regulation authority normally does not charge a business-licence application fee. That does not make company formation free. The commercial cost comes from preparing a compliant structure and filing package, handling foreign shareholder documents, providing or verifying the registered address, coordinating approvals and completing post-licence setup.

Separate official, permit or pass-through charges can apply when a project involves regulated activities or additional approvals.

Overseas Shareholder Documents

The document route depends on whether the shareholder is an individual or a company, the country of origin, the document type and the registration authority’s verification channel.

Where the Apostille Convention applies between the issuing country and China, an apostille generally replaces consular legalisation for eligible public documents. Other documents or jurisdictions may require notarisation, legalisation, certified translation or originals.

Hainan has introduced facilitation measures for certain foreign-investor registrations. In qualifying cases, corporate investors outside the foreign-investment negative list may use specified copies, declarations and a recommendation letter instead of repeating some authentication steps. The route has conditions and is not a blanket waiver for every applicant.

Translation, Certification and Courier Work

Foreign-language documents usually need Chinese translations that meet local filing requirements. Translation, certification and international courier charges vary with the country, document count and urgency. Confirm the required format before ordering documents; an unnecessary or incorrectly prepared legalisation chain can waste both time and money.

Company Chops

A company normally needs a set of chops after licensing. Common items include the company chop, financial chop and legal-representative chop; an invoice or other use-specific chop may also be needed. The exact set and fee depend on local arrangements and the company’s operations.

Registered Address

Every Chinese company needs a compliant registered address. Cost depends on the city, district, building, lease term, inspection requirements and whether the address can support tax, bank or sector-licensing checks.

Ask these questions before accepting an address quote:

  1. Is the address included for the full first year?
  2. Can it receive official mail and cooperate with inspections?
  3. Is it accepted for the intended business scope and tax registration?
  4. What is the renewal price and notice period?
  5. Does the company need a real workstation, private office or staff presence for its operating model?

A registered-address service is not proof of substantive operations. If a company seeks Hainan incentives, its people, management, assets, records, income and actual business activity must support the relevant policy test.

Professional Formation Service

A formation provider may coordinate market-access screening, shareholder documents, articles of association, registered capital, business scope, company name, application filing, licence collection, chops, address, bank preparation and tax onboarding.

Do not compare prices without comparing scope. A licence-only service and a first-year operating setup are different products.

Corporate Bank Account

The bank decides KYC and account approval independently. It may request the business licence, chops, shareholder and ultimate-beneficial-owner information, contracts, address evidence, business plan, source-of-funds information and explanations of expected transactions.

Some banks and applicants can use video or other remote procedures; others may require the legal representative or an authorised person to attend. No service provider should guarantee that a bank account will be approved remotely.

Tax, Invoicing and Bookkeeping

After incorporation, the company needs tax onboarding and ongoing books and filings. The workload depends on taxpayer status, transaction volume, staff, imports and exports, related-party dealings and sector rules.

An external financial-statement audit is not automatically identical for every foreign-invested company. Whether an audit or other assurance work is required depends on the company type, articles, sector, tax position, financing arrangements and other applicable rules. It should therefore be scoped separately rather than buried in a universal annual-cost figure.

Foreign-invested enterprises must also submit the applicable annual information reports. Company formation is the beginning of compliance, not the end.

Registered Capital

Registered capital is the amount shareholders subscribe to contribute to the company. It belongs to the company for legitimate business use; it is not paid to the registration agent.

Under China’s Company Law effective from 1 July 2024, shareholders of a newly established limited liability company generally must pay their subscribed capital within five years of establishment. Special industries may have additional capital rules.

There is no sensible universal capital number. Set it from a five-year cash-flow model that covers payroll, rent, suppliers, tax and operating runway while considering licensing and bank expectations. An unrealistically high subscription creates a funding obligation; an unrealistically low amount can undermine the business plan.


3. Cost Differences by Entity Type

Wholly Foreign-Owned Limited Liability Company

Often called a WFOE in commercial discussions, this is a common structure for a foreign founder who needs a revenue-generating China entity and operates in a sector where full foreign ownership is allowed.

It can contract, hire, invoice and receive revenue in China, subject to its registered scope and any licences. Its setup work is more substantial than a representative office because it requires a complete operating-company structure.

Joint Venture

A joint venture may be necessary in a restricted sector or commercially useful when a Chinese partner brings a licence, channel, technology or team. It is not automatically cheaper. Shareholder negotiation, due diligence, governance protections, intellectual-property arrangements and exit clauses can add professional work before registration.

Representative Office

A representative office may suit liaison, market research and promotional work by an overseas company. It generally cannot conduct direct profit-making business or issue Chinese VAT invoices. Its tax and ongoing administration also follow a different framework, so it should not be selected merely because the initial filing looks simpler.


4. Does Hainan Reduce the Long-Term Cost?

Potentially—but only when the company meets the conditions and Hainan is a genuine operating location.

15% Corporate Income Tax

China’s standard corporate income tax rate is generally 25%. Through 31 December 2027, a Hainan enterprise may qualify for a 15% rate when it has substantive operations in Hainan, conducts an encouraged business and normally earns at least 60% of total revenue from that encouraged business.

As a simplified illustration, if the same taxable-profit base of USD 200,000 were eligible at 15% instead of 25%, the arithmetic difference would be USD 20,000. Actual tax depends on RMB accounts, taxable-income adjustments, losses, credits, related-party rules and confirmation of policy eligibility.

Zero-Tariff Treatment

After island-wide special customs operations, a qualifying Hainan entity may import goods outside the imported taxable-goods catalogue free of import duty, import VAT and consumption tax. Entity qualification, product classification, permitted use, island circulation and later movement through the second line into mainland China all matter.

Cross-Border Banking

Hainan’s EF account framework can support eligible cross-border settlement and financing scenarios. It does not remove bank KYC, foreign-exchange, tax, anti-money-laundering or transaction-document requirements. See the EF account guide.

Hainan Versus Hong Kong or Singapore

A Hainan operating company, a Hong Kong company and a Singapore company solve different problems. A low-cost offshore or holding structure is not a substitute for a mainland operating company when the business must hire locally, issue mainland invoices, import, access Hainan policies or perform contracts in China.

5. Five Cost Traps to Avoid

Trap 1: Comparing a Licence-Only Quote With a Full First-Year Setup

Ask for a deliverables matrix. Confirm the address term, chops, bank preparation, tax and invoice onboarding, bookkeeping months, filings, translations and third-party charges.

Trap 2: Treating Registered Capital as a Formation Fee

Capital is company funding and creates a shareholder obligation. Keep it separate from service and government costs in the budget.

Trap 3: Assuming Bank Approval Is Included or Guaranteed

A provider can prepare and coordinate; the bank makes the final decision. Ask what happens if the first bank requests more evidence or declines the application.

Trap 4: Budgeting Only for Incorporation

Include bookkeeping, tax filings, annual reporting, address renewal, payroll and licence maintenance. Where an audit is required, budget it as a separate scoped item.

Trap 5: Choosing Hainan Only for a Tax Headline

Policy eligibility follows the real business. Build the operating model first, then test the industry, revenue and substantive-operation evidence against the current rules.
