Register a Tech Company in Hainan: 2026 Guide for Foreign Founders

Register a tech or digital-economy company in Hainan FTP: 15% CIT, cross-border data rules, Yazhou Bay options and 2026 steps for foreign founders.

Hainan can be attractive to a foreign technology founder for reasons that go beyond a low tax headline: China market access, proximity to Southeast Asia, specialized science parks and a developing cross-border data framework. None of those advantages is automatic.

A technology business scope does not by itself produce 15% corporate income tax. A Hainan registration does not permit unrestricted data export. An IP protection center does not guarantee a patent, and a park brochure is not a committed grant.

The right approach is to design five connected files: entity, product permissions, people and premises, IP and R&D, and data architecture.

Is Hainan the right operating base?

Hainan is strongest when the company has a reason to perform work on the island. Examples include China–ASEAN SaaS support, cross-border e-commerce technology, tourism systems, marine or seed research, commercial aerospace, healthcare innovation or digital services that use Hainan infrastructure.

Compare Hainan with Shenzhen, Shanghai and Singapore on the actual bottleneck:

A common structure is an overseas holding company with a Hainan operating subsidiary. It is not universally optimal. IP ownership, fundraising, China tax, data, licensing and exit planning must support the same functional story.

Set up the foreign-owned company around the product

Foreign founders can establish a wholly foreign-owned limited company in sectors not restricted by the applicable Hainan foreign-investment negative list. “Technology” covers regulated and unregulated activities; telecom, internet content, cloud, maps, healthcare, education, finance and other fields can require separate access analysis. A mainland-hosted website or online service also needs an ICP license in China assessment based on its actual model.

Start with the foreign-investment negative-list guide and then:

  1. define the product, customer, data and revenue model;
  2. select the permitted business scope and licences;
  3. set a subscribed-capital amount that can generally be paid within five years;
  4. choose premises that support the team and any policy evidence;
  5. register the Hainan company and complete tax and bank onboarding;
  6. put employment, IP and intercompany agreements in place; and
  7. launch compliant accounting and data controls before revenue starts.

Two possible routes to a 15% corporate rate

China’s standard corporate income tax rate is generally 25%. A Hainan tech company may assess two separate 15% routes.

Hainan FTP encouraged-industry route

The company must be registered and substantively operating in Hainan, conduct a business within the current encouraged-industry catalogue and derive the required share of revenue from that business. The 15% CIT guide explains the current test and evidence.

Business-scope wording is not proof. Contracts, invoices, product records, staff, premises, management and accounts must demonstrate the encouraged activity.

High and New Technology Enterprise recognition

HNTE is a national qualification. The applicant generally must have operated for more than one year, own core supporting IP, work in a supported technical field, satisfy technical-personnel and R&D ratios, earn sufficient high-tech product or service income and pass an innovation-capability assessment.

The national R&D super deduction is another separate measure. Eligible R&D costs may receive the prescribed additional deduction, whether or not the company has HNTE status. Maintain project approvals, personnel time, materials, depreciation, outsourced R&D and an auxiliary ledger.

Intellectual property: ownership, speed and evidence

Decide who should own patents, software copyright, trademarks, datasets, models and know-how before developers and contractors create them. Employment and development agreements should address assignment, confidentiality, open-source use, background IP and deliverables.

Hainan has developed specialized IP protection resources. The China National Intellectual Property Administration approved construction of the Haikou IP Protection Center for equipment manufacturing and biomedicine, while Sanya’s resources focus on fields such as seed and marine technology. Eligible applicants in an approved field may use patent pre-review channels.

Pre-review is not automatic. The entity, technology, application quality and field must be accepted, and the patent office still conducts examination. Avoid presenting “28 days” or “three months” as an assured grant timeline.

IP location also affects HNTE. The Hainan applicant must own the core IP supporting its main high-tech products or services under the recognition rules. A licence from a Singapore parent may support commercial use but should not be assumed to satisfy the ownership test. Any transfer or licence needs valuation, tax, transfer-pricing, export-control and investor review.

Cross-border data: use the negative list carefully

Hainan published its Free Trade Port Data Export Management List (Negative List) in February 2025. The list identifies 14 scenarios in five fields: deep-sea technology, seed breeding, commercial aerospace, tourism and duty-free retail.

For a transfer within the Hainan framework and outside the list, specified procedural routes may be simplified. That does not mean “all other data flows freely.” China’s Cybersecurity Law, Data Security Law, Personal Information Protection Law, national transfer rules, sector controls and contractual duties still apply.

  • map data fields, source, subjects, systems and recipients;
  • identify personal and sensitive personal information;
  • screen important data and sector restrictions;
  • document purpose, necessity and legal basis;
  • minimize fields and separate China customer content from telemetry;
  • select the applicable transfer procedure or exemption; and
  • maintain contracts, impact assessments, security controls, logs and deletion.

Regulated telecom or data-center services need their own permissions. Hainan company registration or use of an overseas cloud provider is not a substitute.

Choose a park for the work, not the subsidy

Hainan’s ecosystems include Haikou technology and internet clusters, the Hainan Ecological Software Park in Chengmai, Boao Lecheng for specified medical activities, Wenchang for commercial aerospace and Sanya Yazhou Bay for seed and deep-sea science.

Park support changes by year, budget, project and negotiation. Ask for the current written notice and test conditions before putting rent relief or a grant into the financial model. Use these questions:

  • Can the park legally and physically support the activity?
  • Are the necessary staff, laboratory, connectivity and suppliers available?
  • Does the lease support registration and real operation?
  • What evidence and milestones control any support?
  • What happens if headcount, revenue or investment targets are missed?

A 12-month founder workplan

Months 1–2: architecture

Map the product, market access, shareholder structure, IP, data and founder work status. Select the city and park based on functions.

Months 2–4: formation

Register the company, fund initial operations, open accounts and complete tax, employment and sector onboarding.

Months 3–6: controls

Execute IP assignments and group agreements, establish bookkeeping and R&D ledgers, classify data and implement security and vendor controls.

Months 6–12: evidence

Reconcile encouraged-industry revenue, document substantive operation, build the technology-to-product chain and run an HNTE gap assessment once the company has sufficient history.

Common questions

Can a pre-revenue startup claim Hainan’s 15% CIT?

A tax rate matters only when taxable profit exists, and the company must satisfy the applicable conditions. Build evidence early but do not value the incentive as assured cash.

Must the Hainan company own the software IP?

Not for every commercial model, but ownership is important for HNTE recognition. Allocate rights around actual development, financing and tax functions.

Is general SaaS data outside the five negative-list fields automatically exempt?

No. The exact entity, data, volume, purpose and legal route must be assessed. National personal-information and security duties remain.

Can a tech WFOE use a hosted registration address?

Only where legally permitted and operationally appropriate. Tax incentives, licences, staff and R&D evidence can require real suitable premises.

Are Hainan startup grants automatic?

No. Support is programme-, location-, budget- and performance-specific. Use current official notices and written approval.

What is the registration process for a tech company in Hainan?

It follows the standard foreign-invested WFOE process: name reservation, articles and investor documents (apostilled or notarised where required), business-licence application, bank account opening, tax registration and any applicable FTP incentive filings.
