How to Register a Company in Hainan Free Trade Port: Step-by-Step Guide (2026)

How foreigners incorporate a Hainan WFOE in 2026: entity choice, documents, timeline, costs, registered capital, banking and tax, step by step.

An eligible, complete Hainan company application can now move through the business-licence stage in as few as three working days, and many registration steps can be coordinated online.

The important phrase is business-licence stage. A licence begins the company; it does not automatically activate capital receipt, banking, employment, imports or a preferential tax rate. A rushed filing can leave the scope, capital, address or governance unfit for the operation.

This guide treats registration as an operating project: what to decide, which documents to prepare, how the six steps work and which mistakes delay a complete file.

Why register in Hainan? A practical refresher

Hainan is an onshore Chinese jurisdiction. Its companies can contract with mainland customers, employ staff, receive renminbi and issue applicable Chinese invoices after the relevant activation steps.

The possible policy advantages are conditional:

  • a 15% corporate income tax rate may apply to an encouraged-industry enterprise that meets the applicable revenue and substantive-operation conditions;
  • eligible first-line imports may receive zero-tariff treatment under the island-wide special customs operations framework;
  • qualifying processed goods with at least 30% value added in Hainan may receive import-duty relief when entering mainland China;
  • qualifying high-end or urgently needed talent may benefit from the applicable individual income tax incentive; and
  • an eligible company may discuss an EF account with a participating bank for supported cross-border transactions.

Hainan is most compelling when the company needs mainland customers, local staff, importing, processing, qualifying services or another genuine China function. Tech and digital-economy companies

A foreign-owned technology or digital-economy company follows the same core WFOE registration process, with additional screening for any regulated telecom, platform, content, mapping, healthcare or education function. Choose the entity before choosing the company name

The entity type determines what the organization can do, who controls it and which documents the registry will require.

For many service, technology, consulting and trading activities, a WFOE is the direct route to a foreign-owned Chinese company. It is not available for every activity. Screen the plan against the foreign-investment negative list guide and sector licences first.

A JV should reflect a genuine partner function or sector rule, not a generic claim that every foreign investor needs a local shareholder. A representative office cannot replace a company that signs domestic sales contracts and invoices customers.

The six-step registration process

Step 1: define the activity, scope and entity — before Day 1

Map the product or service, customer, contracting party, delivery, currencies, employees and cross-border goods. Convert that map into the proposed scope and licence list.

The scope should cover the intended operation without becoming a random catalogue. Too narrow can restrict invoicing; unprepared regulated activities can trigger referral or rejection. Confirm whether each activity is encouraged, permitted, restricted or prohibited.

Decide ownership, governance roles, registered capital and the contribution schedule. Shareholders of a newly established limited liability company generally must pay subscribed capital within five years, so the amount must be realistically fundable.

Step 2: prepare three to five company names — target Day 1

A Chinese legal name is required. Prepare three to five meaningful alternatives using the appropriate administrative division, trade name, industry descriptor and company form.

The authority checks similarity, protected wording and naming rules. Avoid implying a regulated status, national scope or government connection the company does not have.

The application can be prepared through Hainan’s e-registration route. The official foreign-invested enterprise registration guide lists the core requirements, submission channels and authority contacts.

Step 3: assemble and validate the documents — target Days 1–2

Investor documents are often the critical path. A foreign individual provides identity information; an overseas corporate shareholder normally needs registry evidence, constitutional records, ownership information, signatory authority and an appropriate corporate resolution.

Hainan’s facilitation measure effective 9 June 2025 can simplify specific eligible cases. An overseas corporate investor outside the excluded fields may use a qualification-document copy with the specified recommendation letter and an authenticity commitment. An eligible foreign individual using the fully electronic route may also avoid notarization, authentication or an Apostille. The official measure contains conditions and exclusions; it does not eliminate legalization for every investor.

If that route is unavailable, confirm whether an Apostille or consular authentication is required, then arrange a consistent Chinese translation. Document type and issuing jurisdiction still matter.

The registered address also needs evidence acceptable for the activity. Review office and workspace support before using an address that cannot support the bank, a licence, staff or inspections later.

Step 4: submit the establishment application — target Days 2–3

The filing combines the approved name, ownership details, governance, scope, capital, contribution schedule, address, articles and signatures or electronic verification.

Do not confuse ownership with the filing contacts. A WFOE in a permitted sector does not generally need a Chinese shareholder, but the registration file includes a registration liaison and, for a foreign-invested enterprise, a domestic recipient for legal documents. National registration rules treat these as filing or service roles, not automatic equity, legal-representative or guarantee roles. The current SAMR registration materials and Hainan’s e-registration procedure require identity verification for the relevant liaison and service-recipient information.

Local execution can be more specific. In a prior Sanya WFOE filing handled by our team, the market-regulation window required a Chinese citizen to be named as the enterprise contact. That practical request did not make the person a shareholder or guarantor. Confirm the role label, citizenship or domestic-contact requirement and verification method with the filing city before signatures are collected.

Compare every repeated field before submission: legal names, ownership percentages, address, capital, scope and approvals must agree.

The authority may accept the application, request corrections, seek more evidence or refer a regulated issue. A one-to-three-working-day target assumes a complete, internally consistent and eligible file. It is not an assured service standard for every case.

Step 5: receive and check the business licence — target Days 3–4

Check the issued licence immediately: company name, type, legal representative, capital, date, scope, address and unified social credit code. Store both electronic and paper records securely.

The licence establishes the legal entity. It does not itself complete bank onboarding, tax activation, customs registration, employment procedures or a regulated-sector permit. Do not sign operational contracts that assume an approval the company has not yet obtained.

Step 6: complete the launch tasks — often Days 4–10 and beyond

Arrange standard company chops through an authorized provider and record custody. Each seal has a different use; casual possession creates risk.

Prepare bank onboarding early. The bank may review owners, funds, business model, premises, counterparties, currencies and countries, and may require attendance. Its approval is independent and cannot be assured.

Activate tax, books and source-document procedures promptly. Complete employment, customs, foreign-trade, product or sector steps where applicable. Coordinate foreign-investment bank records before remitting capital.

2026 Update: Registration Just Got Easier for Foreign Investors

In April 2026, Hainan issued its Three-Year Action Plan for Optimizing Foreign-Related Services and Enhancing the International Business Environment (Qiong Yingshangban [2026] No. 18). Measure 14 targets several friction points foreign investors meet at the registry stage.

Why this matters for remote registration

Remote registration has often still required a local agent, couriered documents and a separate identity-verification step. The plan aims to reduce those frictions through online verification, bilingual filing and simplified evidence routes.

Implementation is progressing, but availability must be checked for the actual investor and filing. Hainan’s second batch of foreign-invested-enterprise facilitation measures and later identity-verification updates have expanded online handling for specified document and identity types. They do not make every passport, shareholder structure or regulated activity automatically eligible.

Two boundaries still apply:

  1. Registration is only the licence stage. Bank onboarding remains a separate review, and a bank may request attendance, video verification or additional evidence.
  2. Conditions and exclusions still matter. Regulated sectors and cases outside a facilitated route retain their applicable document and approval requirements.

The practical sequence remains scope first, names second and documents third. Confirm the currently available identity and document route before ordering translations, legalization or travel.

Registered capital is a shareholder commitment, not a service fee. The State Council’s registered-capital rules implement the five-year framework. Choose an amount that fits the operating plan without creating an unrealistic obligation.

Six mistakes that turn three days into three weeks

1. Starting legalization before confirming the document route

A founder orders legalization before checking whether the facilitated route applies, wasting time or authenticating the wrong version. Confirm the investor, document and receiving route first.

2. Copying a generic business scope

A generic scope can leave the registry, bank and tax records describing different businesses. Build it from actual contracts and screen regulated activities.

3. Using an address that only works on the first form

An address may pass filing but fail bank, licence, staff or mail needs. Test it across registry, bank, tax and operations.

4. Treating subscribed capital as an unlimited promise

A high capital number can create an unfundable obligation under the five-year framework. Model cash flow and record a realistic schedule.

5. Assuming registration automatically unlocks 15% CIT

A licence without real management, people, books or assets does not establish tax eligibility. Use the 183-day and substantive-operation guide before the first tax year.

6. Choosing a bank after every document is signed

Screen the ownership, currencies and counterparties with potential banks early. Banking is a parallel workstream and approval remains independent.

Your first 30 days after the licence

Week 1: verify the licence, arrange and record the chops, start bank onboarding, activate bookkeeping responsibilities and secure the company credentials.

Week 2: confirm taxpayer information, invoice procedures, source-document collection, capital-remittance steps and the first filing calendar. Do not wait for revenue before assigning responsibility for zero or pre-revenue filings.

Week 3: complete employment and social-insurance procedures if hiring, and customs or sector registrations if the business needs them. Finalize customer and supplier contract templates in the correct entity name.

Week 4: compare the actual operation with the business plan. Identify missing premises, people, accounting records, permits or policy evidence. If the company expects Hainan incentives, document a qualification workplan rather than placing the benefit in a forecast as assured.

Common questions

Can a foreigner register a company in Hainan without visiting China?

Many registration steps can be handled through an authorized agent and eligible electronic procedures. Bank onboarding is separate. The bank may require attendance, video verification or more documents based on its KYC assessment, so do not promise a completely travel-free launch before selecting the bank.

What is the minimum registered capital for a Hainan WFOE?

Most ordinary industries do not have one universal statutory minimum, although regulated sectors may. Shareholders of a newly established limited liability company generally must pay subscribed contributions within five years. Set the amount from the business plan and the shareholders’ ability to fund it.

How long does the entire process take?

A complete eligible case may reach the business-licence stage in as few as three working days. Chops, banking, tax activation and any customs or licensing work extend the full setup. A practical plan separates the licence milestone from operational readiness.

Do I need a Chinese partner?

Not for most sectors. A WFOE can have 100% foreign ownership where the activity is not restricted by the applicable negative list. Certain telecommunications, education, media and other regulated activities require a specific legal review rather than a general rule.

Do I need a Chinese citizen contact or guarantor?

A Chinese equity partner is not generally required for a WFOE in a permitted sector. The filing nevertheless includes a registration liaison and a domestic recipient for legal documents, and the registry system or local window may require a China-based person who can complete identity and contact verification. In a prior Sanya filing handled by our team, the window required a Chinese citizen enterprise contact. That contact was not automatically a shareholder, legal representative or guarantor. Confirm the exact role and local verification requirement before submission.

Can I use a serviced or cluster address?

A compliant address service may be available for suitable activities. Acceptance depends on the address, scope, bank and licences. It does not by itself satisfy Hainan’s substantive-operation conditions, which look at real management, people, accounts, premises and assets.

Do I need to visit China in person to register a Hainan company?

For the registration stage, increasingly no. Hainan’s April 2026 action plan calls for online passport identity verification, a bilingual e-registration interface, simplified document routes for eligible cases and Hong Kong-based support. These measures are being implemented progressively and must be confirmed for the applicant’s passport and shareholder structure.

Bank onboarding is separate. The selected bank may still request attendance, video verification or additional evidence, so do not assume the entire setup is travel-free before confirming its requirements.

What is “incorporation in Hainan” — is it different from a normal China WFOE?

Legally, a foreign-owned company in Hainan is still a WFOE (wholly foreign-owned enterprise) under Chinese company law. “Incorporation in Hainan” colloquially means registering that WFOE through the Hainan authorities inside the Free Trade Port, where it can separately assess FTP incentives — the 15% corporate income tax rate for eligible businesses, zero-tariff treatment for qualifying imports and supported cross-border fund channels. Can a foreigner register a tech or digital-economy company in Hainan?

Yes, where the planned activity is permitted and any required sector licences are obtained. What is a WFOE, and do I need one to register a company in Hainan?

A WFOE—wholly foreign-owned enterprise—is the common name for a Chinese limited liability company whose equity is entirely foreign owned. You do not automatically need one: the right vehicle depends on whether you will trade, hire staff, invoice customers, hold licences and earn revenue in China. A WFOE can generally be 100% foreign owned when its activities fall outside the applicable foreign-investment negative list, so no Chinese equity partner is required. The 2024 national list contains 29 restricted or prohibited measures and removed all manufacturing-sector foreign-investment restrictions; Hainan’s separate 27-measure FTP list is shorter for relevant projects. What are the requirements to register a WFOE in China?

A standard WFOE setup requires:

  • an approved Chinese company name in the usual location, trade name, industry and limited-company format;
  • a real, registrable commercial address supported by lease documents—a residential address is generally unsuitable, while accepted Hainan park or workstation options vary; see our office and workspace service;
  • a clear business scope;
  • a registered-capital amount and payment plan—most ordinary industries have no universal minimum, but shareholders of a newly established limited liability company generally must complete subscribed contributions within five years;
  • governance including a legal representative and director or supervisor arrangements—a foreign national may serve as legal representative;
  • foreign investor documents in the required notarized, Apostilled or authenticated form, plus passport or identity documents for the relevant officers; and
  • an activity permitted by the applicable foreign-investment negative list, with any required sector licences.

After the business licence, the company still needs official, finance, legal-representative and invoice chops, corporate bank onboarding, tax activation and any customs or industry registrations. An eligible, complete Hainan application may use the accelerated business-licence route, but three working days is not a universal promise and does not cover post-registration activation.
