Hainan WFOE Registration 2026: Online Filing, E-Signature & Cross-Province Mutual Recognition

What changed in Hainan's 2026 foreign-investment registration service: online identity verification, electronic signature, document mutual recognition and lower-friction support for overseas founders.

September 23, 2026 · Hainan Setup Editorial Team · 6 min read

In June 2026, Hainan expanded its foreign-investment registration service so that eligible overseas natural persons can complete identity verification, electronic signing and registration online. The change matters because it removes a recurring friction point for foreign founders: arranging a physical visit or sending paper identity materials before a straightforward filing can move forward.

The reform is a facilitation measure, not a new foreign-investment admission rule. Foreign investors still follow national market-access rules, the applicable negative list and ordinary requirements for a registered address, business scope and capital commitment. What changed is the service layer around those requirements.

What changed in Hainan in 2026

Hainan’s second batch of foreign-investment registration facilitation measures, issued under 琼市监规〔2026〕3号, took effect on June 30, 2026 and is valid through June 29, 2031. The published measures cover four practical improvements:

  • Online identity verification for overseas individuals: an overseas natural person holding a UnionPay bank card can use the card and the reserved mobile number for four-element identity verification.
  • Electronic signature: eligible applicants can sign the registration documents online after identity verification.
  • More flexible supporting-document recognition: Hainan provides a mutual-recognition route for certain previously issued notarization, certification or apostille documents. The applicable scope is dynamic and any limitation on the original document still applies.
  • Follow-through service: a foreign-investment registration service team can provide pre-filing multilingual assistance, immediate confirmation and links to related services.

The State Administration for Market Regulation also reported in July 2026 that Hainan’s “bank-card four-element verification + electronic signature” service had gone live for foreign passport holders. This is evidence of a working service channel, not a blanket promise that every filing will be approved without review.

The national context: six changes that affect the filing environment

Hainan’s local measures sit on top of national rules. There is no single law that makes every foreign-investment registration identical, but several 2025–2026 changes affect the surrounding process:

Policy layer Practical relevance
2026 market-regulation document standards Electronic signing and time confirmation are recognized within the filing workflow; the exact system and document requirements still apply.
Foreign-investment stabilization action plan Adds nationwide service and investment-promotion measures; it does not replace market-access screening.
SAFE Circular 43 (汇发〔2025〕43号) For qualifying domestic reinvestment scenarios, the invested enterprise or equity transferor need not handle the former receiving-reinvestment registration; banks still review the transaction materials.
Revised Foreign Trade Law Updates the general framework for foreign-trade operators.
Encouraged Industries Catalog 2025 edition Determines whether an activity may fall within an encouraged-industry route for relevant incentives.
Market Access Negative List 2025 edition Remains the national boundary for restricted or prohibited activities.

The registration system’s business-scope screening is an internal checking mechanism against the applicable market-access rules. It is not the formal name of a separate regulation and should not be treated as an automatic approval.

What the new service changes — and what it does not

The biggest gain is lower document-handling friction for eligible overseas applicants. A simple filing can move through a more continuous online path:

  1. Select a proposed business scope and confirm whether it needs sector-specific approval or licensing.
  2. Prepare the shareholder, director, legal representative, capital commitment and Hainan address information required by the filing system.
  3. Use the supported UnionPay-card and reserved-mobile-number verification route, or the applicable document-recognition route.
  4. Complete electronic signatures and submit through the Hainan registration platform.
  5. Download the electronic business license after approval when the applicant and legal representative meet the platform’s conditions.

This is a description of the service improvement, not a replacement for the existing company-registration requirements. Bank-account opening, tax registration, sector licenses and substantive-operation questions remain separate workstreams. Some banks or regulated sectors may still require additional checks or an in-person step.

Mutual recognition: the useful boundary

The task is not “nationwide mutual recognition.” The published Hainan measure describes a provincial recognition mechanism and a cross-province scope that is adjusted over time. The current service discussion commonly refers to Beijing-Tianjin-Hebei, Guangxi and Hainan, but the document’s exact applicable range and any restriction on a particular notarization or certification document must be checked at filing time.

For a foreign investor, the practical question is therefore not whether every overseas document is accepted everywhere. It is whether the applicant already has a document that falls within Hainan’s current recognition route and remains valid for the proposed filing. If not, the applicant should use the ordinary notarization, certification or apostille path rather than assuming the online route removes all document formalities.

Why the 15% CIT discussion belongs in a separate decision

Registration convenience and tax qualification are related but not identical. A Hainan-registered WFOE does not automatically receive a 15% corporate income tax rate. The commonly cited conditions include:

  • registration in the Hainan Free Trade Port;
  • substantive operations in Hainan;
  • revenue from encouraged industries meeting the applicable proportion, commonly described as at least 60%; and
  • the other conditions and evidence required for the relevant tax treatment.

The 15% rate should therefore be treated as a qualification question to test against the company’s actual business, revenue mix, people, management and supporting records. It is not a registration-day entitlement and should not be used as a substitute for a tax assessment.

FAQ

Can I register a Hainan WFOE entirely online as a foreign passport holder?

Yes, since June 30, 2026, for eligible applicants using the supported identity-verification and electronic-signature route. The registration platform still reviews the filing and its business scope.

What documents do I need for Hainan WFOE registration in 2026?

The core set is the applicant and management identity information, proposed business scope, capital commitment and Hainan registered address, plus the platform’s required evidence. UnionPay-card verification or a qualifying cross-province document route may reduce paper handling.

How does Hainan’s 15% corporate income tax work for newly registered WFOEs?

It is conditional. Registration, substantive operations and the encouraged-industry revenue test must be assessed together; the benefit does not apply automatically to every new WFOE.
